These Terms govern your use of localnetpro.com and any consulting, marketing, and related services offered by Local Net Pro.
1) Acceptance
By accessing the site or engaging our services, you agree to these Terms and our Privacy Policy.
2) Use of the site
You may not misuse the site, attempt unauthorized access, interfere with operation, or use automated scraping without permission. We may modify or discontinue any part of the site at any time.
3) Consultations and bookings
We offer free discovery or demo calls for prospective clients. We may reschedule for operational reasons. Please provide accurate contact details.
No-show policy: We may decline future bookings after repeated no-shows.
Pre-contract information: Materials shared on calls are informational and not guarantees of results.
4) Proposals, projects, and payment (for clients)
Scope: Services are defined in written proposals or statements of work (SOW).
Fees and invoicing: Unless stated otherwise, invoices are due Net 15 days. Late balances may accrue a 1.5% monthly finance charge or the maximum allowed by law.
Changes: Client-requested changes outside the scope require a written change order and may affect fees and timelines.
Cooperation: You will provide timely approvals, access, and materials needed for us to perform services.
5) Campaigns and results
We strive for strong performance but cannot guarantee specific rankings, impressions, clicks, or revenue. Performance depends on many external factors.
6) Intellectual property
Our materials: We retain ownership of agency methodologies, templates, code libraries, and pre-existing IP.
Deliverables: Upon full payment, you receive a non-exclusive license (or assignment if specified in the SOW) to use final deliverables for your business.
Client materials: You grant us a license to use your logos, content, and data solely to perform services.
Portfolio use: We may reference non-confidential project outcomes and display your logo in our portfolio, unless you opt out in writing.
7) Confidentiality
Each party will keep the other’s non-public information confidential and use it only for the project. This survives termination.
8) Third-party services
Our services may involve third-party platforms (Google, Meta, ad networks, analytics, and hosting). Your use of those platforms is subject to their terms and policies. Fees payable to third parties (ad spend, licenses) are your responsibility unless the SOW states otherwise.
9) Disclaimers
The site and services are provided “as is.” We disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement to the fullest extent permitted by law.
10) Limitation of liability
To the fullest extent permitted by law, Local Net Pro will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages. Our aggregate liability arising out of these Terms or services will not exceed the fees paid to us for the service giving rise to the claim in the 12 months before the event.
11) Indemnification
You agree to indemnify and hold us harmless from claims arising out of your content, your misuse of the site/services, or your violation of laws or third-party rights.
12) Termination
Either party may terminate services for material breach if not cured within 10 days of written notice. You remain responsible for work performed and committed third-party costs through the termination date.
13) Communications
By submitting forms or booking, you consent to receive service-related emails or messages. You can opt out of marketing emails at any time.
14) Governing law and venue
These Terms are governed by the laws of NC, USA, without regard to conflict of law rules. The exclusive venue for disputes is the state or federal courts located in NC, USA. You consent to personal jurisdiction there.
15) Changes to Terms
We may update these Terms from time to time. Continued use of the site or services after changes constitutes acceptance.
